Welcome to Rawmantic©Chocolate. These Wholesale Terms & Conditions govern all wholesale transactions between Rawmantic®Chocolate LLC and approved wholesale buyers.

By submitting a wholesale order, you acknowledge and agree to these Terms.

1. Eligibility

Wholesale purchasing is available to approved retailers, distributors, and resellers only.

To qualify you must submit a valid business name, resale certificate (if applicable) and agree to abide by our brand standards and pricing policies. Rawmantic®Chocolate reserves the right to approve or deny any wholesale application at its sole discretion.

2. Minimum Orders

Opening Order Minimum: 72pcs of nutritional bars $252 48pcs of Dubai chocolates S432

Reorder Minimum: 3 boxes of any products

All orders below the minimum will be subject to review and may be declined or adjusted.

3.Pricing & Payments

All prices are listed in USD and are subject to change without prior notice.

Wholesale pricing is confidential and must not be shared publicly.

Payment is required in full at the time of order unless other terms have been pre-approved in writing.

Accepted payment methods include major Credit Cards, ACH wire, or Paypal. Late payments may incur a 2% monthly finance charge or the maximum allowed by law.

4. Shipping & Handling

Orders are processed within 2-3 business days after payment confirmation, depending on order size and inventory.

Shipping charges are calculated based on weight, temperature sensitivity, and destination. We ship via FedEx. UPS, or temperature-controlled carriers when necessary to ensure product quality Title and risk of loss transfer to the Buyer once the order leaves our facility.

During warmer months, we strongly recommend expedited shipping with ice packs to protect chocolate integrity.

5. Damaged or Missing Items

Inspect all shipments immediately upon arrival. Any discrepancies or damages must be reported within 48 hours of receipt with photos.

Approved claims will be credited or replaced at our discretion.

Rawmantic®Chocolate is not responsible for damages caused by carrier delays, improper storage, or mishandling after delivery. (We suggest to add insurance on your shipment)

6. Returns & Refunds

Due to the perishable nature of our products, we do not accept returns or exchanges unless the product was defective upon arrival. Refunds or replacements must be pre-authorized in writing. We do not accept returns on unsold items. Each retailer is solely responsible for the proper promotion, marketing, and sale of Rawmantic®Chocolate products.

Our responsibility is to handcraft and deliver premium-quality products that meet the highest standards of taste and integrity.

We fulfill our commitment - it is each retailer's responsibility to do the same in presenting and selling them.

7. Storage & Handling Requirements

To preserve quality: Store products in a cool, dry place (ideally below 70°F / 20°C).

Avoid direct sunlight, moisture and heat exposure.

We recommend refrigeration to prolong shelf life. Properly stored, Rawmantic®Chocolate products maintain quality for up to 365 days from the production date. Failure to follow storage guidelines voids all warranties and return rights.

8. Resale & Distribution

Products must be sold in their original packaging.

Relabeling, rebranding, or repackaging under another name is strictly prohibited.

Private Label: Rawmantic®Chocolate offers authorized private label opportunities to approved buyers.

When approved, retailers may sell products under their own label, provided all formulations, packaging, and

brand representations are pre-approved by Rawmantic®Chocolate in a manner consistent with our brand image and values.

9. Marketing & Brand Assets

Authorized wholesale partners may use approved Rawmantic®Chocolate images, descriptions, and materials for promotional purposes.

Use of the Rawmantic® trademark, logos, or photography beyond approved materials requires written consent.

10. Cancellations

Cancellations must be made within 24 hours of order placement Once production or fulfillment begins, cancellations may not be accepted.

11. Intellectual Property

All trademarks, product designs, packaging, images, and written materials are the exclusive property of Rawmantic®Chocolate LLC >and protected by copyright and trademark laws. Unauthorized use or reproduction is strictly prohibited.

12. Limitation of Liability

Rawmantic®Chocolate's liability is limited to the replacement value of the goods purchased.

We are not liable for indirect, incidental, or consequential damages arising from product use or resale.

13. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

Any disputes shall be resolved exclusively in the courts located in New York County, NY.

14. Amendments

Rawmantic®Chocolate reserves the right to update or modify these Terms at any time without prior notice.
